1. Scope & Legal Acceptance
These Terms & Conditions (“Terms”) govern all purchases, transactions, quotations, invoices, communications, operational procedures, support interactions, and services conducted by and between M/s RFCharge India (“RFCharge”, “Company”, “we”, “our”, or “us”) and any visitor, purchaser, customer, organization, reseller, institution, or entity (“Customer”, “Buyer”, or “you”) interacting with www.rfcharge.com or any official RFCharge communication channel. By accessing our website, placing an order, making payment, requesting quotations, interacting with our representatives, or otherwise engaging with RFCharge, you acknowledge and agree to be legally bound by these Terms.
2. Business Operations, Technical Infrastructure & Manufacturing
RFCharge operates in the fields of RF communication systems, electronics, telecommunication infrastructure, industrial electronics, technical systems integration, research & development, embedded systems engineering, and electronics manufacturing. In addition to retail and distribution activities, RFCharge is engaged in indigenous product development, technical prototyping, hardware integration, operational engineering, manufacturing workflows, and communication technology research initiatives, many of which involve specialized technical verification, regulated logistics handling, procurement coordination, inward validation, or configuration-specific operational workflows.
3. Product Availability, Procurement & Inventory Allocation
RFCharge deals in ready-dispatch inventory, procurement-based inventory, imported equipment, distributor-sourced inventory, incoming inventory allocations, and specialized fulfillment workflows. Certain products displayed on the website may undergo procurement processing, inward verification, inventory allocation, technical inspection, quality-control review, serial allocation, customs processing, distributor coordination, or operational validation prior to dispatch. Product visibility, website availability, estimated timelines, procurement indicators, or stock references shall not be interpreted as unconditional guarantees of immediate physical dispatch readiness unless expressly confirmed through official RFCharge operational channels.
4. Order Acceptance, Verification & Operational Discretion
All orders remain subject to payment verification, inventory confirmation, inward inspection, procurement feasibility, logistics availability, technical validation, compliance review, fraud-prevention assessment, and internal operational approval. RFCharge reserves the right, at its reasonable operational discretion, to accept, reject, suspend, defer, modify, or cancel any order in circumstances involving inventory discrepancies, supplier limitations, procurement complications, pricing inaccuracies, verification concerns, operational limitations, technical inconsistencies, logistics restrictions, regulatory issues, force majeure conditions, or payment-related irregularities.
Customers acknowledge that RFCharge operates within a broader ecosystem involving manufacturers, distributors, procurement partners, customs authorities, logistics operators, payment intermediaries, courier networks, and technical support infrastructures, and that certain operational timelines, dispatch procedures, procurement cycles, or support workflows may therefore remain dependent upon third-party systems beyond the direct operational control of RFCharge.
5. Official Communications & Binding Commitments
Any indicative discussions, preliminary communications, estimated timelines, verbal interactions, procurement discussions, operational conversations, or informal communications shall not independently constitute binding contractual commitments unless expressly confirmed through official RFCharge operational channels. Official operational commitments shall be deemed valid only when confirmed through authorized invoices, documented support communication, dispatch confirmation, official email communication, or formal operational acknowledgement issued by RFCharge.
Customers further acknowledge that unofficial statements, third-party discussions, reseller commentary, community discussions, public forums, or non-authorized representations shall not constitute binding commitments upon RFCharge.
No delay, operational flexibility, temporary accommodation, partial enforcement, or discretionary conduct by RFCharge shall constitute a waiver of any rights, protections, remedies, operational authority, or legal position available to the Company under applicable law or these Terms.
6. Dispatch, Delivery & Logistics Handling
Any dispatch timelines, shipping estimates, lead times, procurement estimates, or delivery projections displayed on the website are indicative operational estimates only and shall not constitute guaranteed delivery commitments unless expressly confirmed in writing by RFCharge. Dispatch and delivery timelines may vary depending upon procurement cycle, inward verification, inventory allocation, customs processing, import logistics, distributor coordination, courier limitations, weather conditions, aviation restrictions, operational review, technical validation, regulatory controls, or circumstances beyond the reasonable operational control of RFCharge.
RFCharge shall not be held responsible for delays arising due to customs processing, logistics interruptions, courier limitations, regulatory restrictions, technical verification procedures, third-party operational disruptions, or force majeure circumstances.
7. Product Specifications, Technical Variations & Serial Allocation
Product specifications, accessories, firmware versions, documentation, packaging, supplied contents, regional markings, hardware revisions, and operational configurations may vary depending upon sourcing channel, production batch, distributor allocation, import cycle, manufacturer revision, regional variant, operational availability, or technical ecosystem. Serial numbers and unit allocations are finalized during inward verification and operational dispatch workflow. RFCharge reserves the right to allocate equivalent serial numbers, technically equivalent production batches, regional variants, or equivalent operational units where reasonably required during fulfillment processing.
8. Pricing, Payments & Commercial Terms
All pricing displayed on the website remains subject to applicable taxation, supplier revisions, import duties, logistics costs, procurement fluctuations, technical corrections, operational revisions, exchange-rate fluctuations, or typographical inaccuracies. RFCharge reserves the right to correct pricing errors, technical inaccuracies, operational discrepancies, tax-related inconsistencies, or publishing mistakes without prior notice.
Full upfront payment may be required for imported equipment, procurement-based inventory, allocated inventory, high-value electronics, customized configurations, or operationally reserved products. Quotations, proforma invoices, payment acknowledgements, operational confirmations, and receipts shall not automatically constitute final tax invoices. GST invoices may be generated following operational verification, inventory allocation, inward confirmation, dispatch authorization, and fulfillment processing.

9. Warranty, Technical Assistance & Operational Support
Warranty applicability may vary depending upon manufacturer policy, sourcing channel, regional distribution structure, import classification, distributor terms, operational category, or product ecosystem. RFCharge may provide manufacturer-backed warranty assistance, distributor-supported coordination, dealer-backed service facilitation, technical guidance, repair coordination, operational support, or best-effort assistance depending upon the applicable product category and sourcing structure.
Products supplied by RFCharge may include imported units, regional variants, international versions, distributor-sourced inventory, or specialized procurement inventory. Operational support, compatibility assistance, and technical coordination shall be provided on a commercially reasonable basis subject to applicable manufacturer, distributor, supplier, and technical ecosystem limitations.
10. Customer Conduct, Communication Standards & Operational Protection
Customers interacting with RFCharge agree to maintain lawful, professional, and non-abusive communication at all times. RFCharge maintains professional standards regarding communication conduct and reserves all rights against abusive behavior, threats, intimidation, harassment, reputational coercion, defamatory publication, operational interference, malicious allegations, staff abuse, unlawful pressure tactics, or misconduct directed toward the Company, its representatives, operational personnel, technical teams, business associates, or commercial operations.
RFCharge reserves the right to restrict communication channels, migrate interactions to documented support systems, limit communications to email or ticket-based workflows, suspend non-essential engagement, preserve operational records, and pursue remedies available under applicable law wherever reasonably necessary for operational protection and dispute management.
11. Limitation of Liability
To the maximum extent permissible under applicable law, RFCharge shall not be liable for indirect losses, consequential damages, reputational impact, procurement delays, operational disruptions, logistics interruptions, customs-related delays, courier limitations, technical incompatibilities, third-party service failures, regulatory interruptions, business interruption, or circumstances beyond the reasonable operational control of the Company. In all circumstances, the aggregate liability of RFCharge, if any, shall remain strictly limited to the invoice value of the concerned product or transaction.
12. Dispute Resolution & Legal Jurisdiction
Customers are encouraged to seek resolution through official support channels, structured escalation mechanisms, accounts review procedures, operational review systems, and documented communication workflows before initiating external proceedings. Nothing contained herein shall restrict lawful consumer rights available under applicable law. However, RFCharge expressly reserves all rights and remedies against malicious falsehood, reputational interference, knowingly misleading publication, unlawful intimidation, operational harassment, or misuse of legal mechanisms for coercive, defamatory, or commercially disruptive purposes.
These Terms shall be governed by the laws of India, and all disputes shall remain subject to the exclusive jurisdiction of competent courts located within the State of West Bengal, India.
13. Policy Modifications & Revisions
RFCharge reserves the right to revise, amend, replace, modify, suspend, update, or remove any portion of these Terms & Conditions at any time without prior notice. Continued use of the website, placement of orders, interaction with RFCharge, or engagement with Company services following such revisions shall constitute acceptance of the latest published version of these Terms.
